These Terms of Service, together with our Terms of Sale, Shipping Policy, Return Policy, and Privacy Notice (collectively, the “Terms”), govern your access to and use of https://www.stylo-fd.com/hornmanandco-humidors (the “Site”) and any purchase made through it. By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Eligibility: The Site is intended for individuals at least 18 years of age purchasing for personal, non-commercial use. By using the Site, you represent that you meet these requirements. We reserve the right to refuse service, suspend accounts, or cancel orders at our discretion, including where we suspect resale, fraud, or unauthorized commercial purchasing.

3. Use of the Site: You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site in any way that could damage, disable, overburden, or impair it, or interfere with any other party's use of it.

4. Intellectual Property: All content on the Site — including text, graphics, logos, product photography, and the Hornman & Co. name and marks — is the property of Hornman & Co. or its licensors and is protected by applicable intellectual property law. No content may be reproduced, distributed, or used for any commercial purpose without our prior written consent.

5. Prohibited Conduct: You agree not to:

   • Attempt to gain unauthorized access to the Site or its underlying systems

   • Use bots, scrapers, or other automated means to access or extract data from the Site

   • Reproduce, resell, or redistribute products purchased through the Site without our authorization

   • Post or transmit unlawful, infringing, or harmful content through any interactive feature of the Site

6. Third-Party Links: The Site may contain links to third-party websites. We do not control, and are not responsible for, the content, policies, or practices of any third-party site.

7. Disclaimer of Warranties: The Site and its content are provided “as is” without warranties of any kind, express or implied, except as expressly set forth in our Terms of Sale. We do not warrant that the Site will be uninterrupted, secure, or error-free.

8. Limitation of Liability: To the fullest extent permitted by law, Hornman & Co. will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms will not exceed the amount you paid for the product giving rise to the claim.

9. Indemnification: You agree to indemnify and hold harmless Hornman & Co., its officers, employees, and affiliates from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Site.

10. Governing Law and Dispute Resolution: These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising under these Terms is subject to the exclusive jurisdiction of the state and federal courts located in Ulster County, Accord, New York state.

11. Changes to These Terms: We may update these Terms at any time. The version posted on the Site at the time of your order governs that transaction. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

Terms of Sale

1. Scope: These Terms of Sale apply to all consumer purchases made through the Site for personal use. They do not apply to wholesale, trade, or reseller accounts, which are governed by separate agreements.

2. Product Descriptions and Natural Material Variation: We make reasonable efforts to accurately describe and photograph our products, including capacity, materials, and dimensions. Because Hornman & Co humidors are made from natural materials — including Spanish cedar, full grain leather, and select hardwoods — variation in grain, color, and texture is an inherent characteristic of the material, not a defect. Product images are representative; minor variation between the item received and its photograph is expected and is not grounds for a defect claim.

3. Pricing: All prices are listed in U.S. dollars and exclude applicable sales tax, duties, and shipping charges unless otherwise stated. We reserve the right to correct pricing errors at any time, including after an order has been placed, and to cancel any order placed at an incorrect price, in which case we will notify you and issue a full refund.

4. Order Placement and Acceptance: Your order is an offer to purchase, which we may accept or decline at our discretion. A contract of sale is formed only upon our written confirmation of your order (typically by email). We reserve the right to refuse or cancel any order, including in cases of suspected fraud, unauthorized resale, pricing errors, or unavailability of stock.

5. Payment: Payment is due in full at the time of order. We accept the payment methods displayed at checkout. You represent that you are authorized to use the payment method provided. We use third-party payment processors and are not responsible for their practices beyond what is required by applicable law.

6. Taxes and Duties: You are responsible for any applicable sales tax, use tax, customs duties, or import fees associated with your order, in addition to the listed price.

7. Risk of Loss and Title: Title and risk of loss pass to you upon our delivery of the product to the carrier, except where applicable consumer protection law provides otherwise.

8. Force Majeure: We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, labor disputes, carrier disruptions, or governmental action.

9. Limited Craftsmanship Warranty: We warrant that each Hornman & Co humidor is free from defects in material and workmanship under normal use for a manufacturer’s 2-year period from the date of delivery. This warranty covers issues such as hardware failure, seal integrity, and hygrometer malfunction. It does not cover damage from misuse, normal wear, or natural variation in wood grain or leather. To submit a warranty claim, contact hornmanandco@gmail.com with your order number and photographs of the issue.

10. Limitation of Liability: Our total liability arising out of any order will not exceed the purchase price paid for the product giving rise to the claim. We are not liable for indirect or consequential damages.

11. Governing Law: These Terms of Sale are governed by the laws of the State of New York.
